Welcome to Cherizo. This website is owned and operated by Cherizo, with its registered office at: WeWork Embassy TechVillage, Block L, Devarabisanahalli, Outer Ring Rd, Bellandur, Bengaluru – 560103, India.

References in these Terms: the words “Cherizo”, “we”, “us”, and “our” mean Cherizo. The words “you”, “your”, and “user” mean any visitor, customer, vendor, merchant or other person who accesses or uses the website (https://cherizo.com/) or our services.

These Terms govern your access to and use of the website and any purchase of products or services from Cherizo (collectively, the “Service”). By accessing, browsing, using the website, placing an order, or purchasing a product, you accept and agree to be bound by these Terms, together with our Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy and other policies, each of which is incorporated herein by reference. Electronic acts such as clicking “I accept”, placing an order, or otherwise proceeding with a purchase constitute your electronic signature and acceptance of these Terms.

If you do not agree with any part of these Terms, you must immediately stop using the website and the Service.

We may update these Terms from time to time by posting a revised version on the website. The revised Terms will take effect when posted. Your continued use of the website after changes are posted constitutes your acceptance of the updated Terms.

Our store is hosted on Zoho Commerce. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

2.  BUSINESS MODEL & SCOPE

Cherizo operates as a multi-category handmade, personalized and creative gift brand offering physical products for decorative, gifting and personal use only. Our current product categories include (but are not limited to):

We do not sell medical, food, pharmaceutical or other hazardous items. We may expand into related categories in the future; any new offerings will be governed by these Terms.

Cherizo sells primarily through its official online store and authorized e-commerce platforms.

3.  ACCEPTANCE OF TERMS; ELIGIBILITY

By using the website or placing an order you represent and warrant that you are at least the age of majority in your jurisdiction and are legally capable of entering into binding contracts. You agree to accept these Terms electronically (including by clicking, checking a box, submitting an order, or otherwise). You consent to receive communications relating to orders, deliveries, and other service messages electronically.

4.  GENERAL CONDUCT AND SITE USE

You must use the website and our products only for lawful purposes. You must not: (a) copy, reproduce, scrape, republish, upload or distribute website content except as expressly permitted; (b) transmit any virus, malware or other harmful code; (c) attempt to gain unauthorized access to the website or our systems; or (d) impersonate any person or misrepresent your identity.

We reserve the right to refuse service, cancel orders, suspend or terminate accounts, or block access to the website for any reason, including suspected fraud or breach of these Terms. We may pursue any remedies available to us under law or equity.

We reserve the right to take appropriate legal action under applicable civil and criminal laws for misuse, data scraping, impersonation, copyright violations, or other unlawful activity.

5.  PRODUCTS & PRODUCT-SPECIFIC TERMS

All Cherizo products are intended for decorative, gifting or personal use only and are not certified for medical, food-grade, industrial or other regulated uses.

5.1 Handmade & Personalized Gifts

·  Handmade items are unique and may vary from product images in colour, texture or finish. These natural variations do not constitute defects.

·  Personalized/custom items are made-to-order. Once production begins for a personalized item, the item is non-cancellable and non-refundable except as required by law or as set out in our Refund & Cancellation Policy.

·  Customers are responsible for the accuracy of personalization content (spelling, images, instructions). Cherizo is not responsible for errors supplied by customers.

5.2 Resin Products (frames, clocks, idols, etc.)

·  Resin items are handmade, and minor bubbles, colour, or texture variations are natural characteristics of the crafting process. These do not, by themselves, constitute defects unless they materially affect the product’s appearance, function, or safety.

·  Items incorporating customer-provided materials (photos, garlands, keepsakes) are handled with care but Cherizo is not responsible for loss or damage to customer-originated items in transit. Customers should retain originals.

5.3 Craft Supplies & Raw Materials

·  Supplies and raw materials are provided “as is” for DIY or crafting use only. Users must follow instructions and safety guidance. Cherizo is not responsible for misuse, improper handling, or combinations of materials beyond stated recommendations.

5.4 DIY Kits, Scented Candles, Stickers & Home Decor

·  Follow product instructions and safety warnings. Keep small parts and potentially hazardous items away from children and pets. Cherizo is not liable for misuse or failure to follow safety instructions.

Product Safety; Age Restrictions; Allergens

Certain products (including scented candles, craft supplies, resin materials, and small accessories) may present hazards if used improperly. You must follow product instructions and safety warnings and comply with any age restrictions shown on product pages. Cherizo is not responsible for injuries, allergic reactions, property damage or other losses resulting from misuse, failure to follow instructions, or third-party alterations.

Cherizo reserves the right to reject or request modification of any customer-supplied design that, in our sole discretion, may violate third-party rights, infringe intellectual property, be illegal, immoral or otherwise inappropriate.

6.  PRODUCT IMAGES, DESCRIPTIONS AND PRICING

We endeavour to present accurate images, descriptions and pricing on the website. However, colours, finishes and dimensions may vary due to device displays or the handmade nature of items. Typographical, photographic or pricing errors may occur. Cherizo reserves the right to correct errors and to update or cancel orders where information is inaccurate. Prices and availability are subject to change without notice.

7.  ORDERS, PAYMENT & BILLING

All prices are quoted in Indian Rupees (INR) and include applicable taxes unless stated otherwise. Orders are subject to acceptance by Cherizo. Payment must be received in full before production or dispatch of goods.

Payment Security & Personal Data

Payments on the website are processed by third-party payment gateways that comply with PCI-DSS standards (for example Razorpay, Paytm and other authorised partners). Cherizo does not store your payment card details. We store and process personal data in accordance with our Privacy Policy, and retain transactional information only as long as reasonably necessary for business, tax and legal purposes. You should review our Privacy Policy for details on data use, rights and retention periods.

We reserve the right to cancel or withhold order fulfilment in case of suspected fraud, payment failure or incorrect billing details. You agree to provide and maintain accurate, current and complete account and payment information.

8.  SHIPPING, RISK & TITLE

Shipping timelines vary based on product type and shipping destination. Cherizo is not liable for delays caused by courier partners, customs, natural events or other causes beyond our reasonable control.

Risk of loss or damage passes to you upon delivery to the address provided. Title/ownership in the goods passes to you upon Cherizo’s receipt of full payment for the goods (including applicable taxes, shipping and other charges), unless otherwise expressly agreed in writing.

International Shipping; Import Duties & Taxes
If you place an order for international delivery, you as a importer are responsible for any customs duties, import taxes, fees or other charges levied by the destination country. Delivery times for international orders may be longer and are subject to customs clearance. Cherizo is not liable for delays, taxes, duties or seizures assessed by customs authorities.

9.  RETURNS, REPLACEMENTS, CANCELLATIONS, REFUNDS & EVIDENCE

Please read our Refund & Cancellation Policy carefully. In general:

·  Customized and personalized products are non-refundable once production has commenced except where required by law.

·  Claims for missing, damaged or defective items must be reported to us within 48 hours of delivery and supported by photos and/or videos as requested.

·  Replacement, repair or refund will be provided in accordance with our Refund & Cancellation Policy and applicable law.

Refunds, Chargebacks & Dispute Procedure

We will acknowledge valid complaints within 48 hours of receipt and endeavour to provide a substantive response or resolution within 15 business days where possible. If a chargeback is initiated through your payment provider, Cherizo reserves the right to request evidence of delivery or proof that the service/product was provided, and to contest the chargeback where appropriate. Refunds, when approved, will be issued to the original method of payment and may take additional time to appear because of payment provider processing times.

Evidence & Preservation

Where a dispute arises regarding delivery, product condition or a refund, you must preserve and provide any requested evidence (including original packaging, photos, videos, and courier tracking information). Cherizo may require return of items at our discretion prior to issuing replacements or refunds. Failure to provide requested evidence may prejudice your claim.

10.  INTELLECTUAL PROPERTY

All content on the website — including but not limited to designs, images, text, product templates, logos, trademarks and branding — is owned or licensed by Cherizo and protected under applicable intellectual property laws (including the Indian Copyright Act, 1957 and the Trademarks Act, 1999). No right, title or interest in any content is transferred to you except for the limited rights to use purchased products as permitted by these Terms or any licence accompanying a purchase.

You must not copy, reproduce, alter, distribute, adapt, create derivative works from, frame, commercially exploit, or otherwise use any content without prior written consent from Cherizo. Unauthorized use may result in civil and criminal liability.

11.  USER CONTENT; LICENSE TO USE REVIEWS & FEEDBACK

If you submit reviews, photos, comments or other content (“User Content”), you grant Cherizo a non-exclusive, transferable, sublicensable, royalty-free, perpetual licence to use, reproduce, publish, modify and display such User Content for marketing, promotional and operational purposes across any media. You represent and warrant that you own or have the necessary rights to submit the User Content and that it does not infringe third-party rights. Cherizo may remove or edit User Content that violates these Terms or is, in our opinion, unlawful, offensive or defamatory.

Cherizo is not liable for User Content posted by third parties.

12.  THIRD-PARTY LINKS & SERVICES

The website may contain links to third-party sites, products or services. Those third-party sites operate under their own terms and privacy practices. Cherizo does not endorse and is not responsible for the content, practices or transactions of third-party sites, nor for any loss or damage arising from your use of them. You should review the terms and privacy policies of any third-party site before using it.

13.  LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Cherizo, its officers, directors, employees, agents, suppliers and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, loss of data, loss of goodwill, or other intangible losses arising out of or in connection with these Terms, the website, or the products or services purchased, whether in contract, tort (including negligence), strict liability or otherwise, even if Cherizo has been advised of the possibility of such damages.

Subject to applicable law, Cherizo’s aggregate liability for any claim arising out of or relating to these Terms or any purchase shall not exceed the total amount paid by you for the specific product or service giving rise to the claim.

Limitations & Statutory Rights

Nothing in these Terms shall exclude or limit liability for fraud, death or personal injury caused by negligence, or any other liability which cannot be excluded or limited by law. Subject to the foregoing and to applicable law, Cherizo’s aggregate liability for direct damages arising from any claim relating to these Terms shall not exceed the total amount paid by you for the product or service giving rise to the claim.

14.  DISCLAIMER OF WARRANTIES

All products and services are provided “as is” and “as available” without any representation or warranty, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement, except as expressly provided in writing by Cherizo or required by applicable law.

15.  INDEMNIFICATION

You agree to indemnify, defend and hold harmless Cherizo and its officers, directors, employees, agents, suppliers and affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your negligent, wilful or unlawful conduct; (c) your violation of any third-party rights; or (d) your misuse of any product or service. This indemnity obligation survives termination of these Terms.

16.  FORCE MAJEURE

Cherizo will not be liable for any delay or failure to perform obligations under these Terms if such delay or failure results from events beyond Cherizo’s reasonable control, including acts of God, natural disasters, pandemics, strikes, lockouts, governmental actions, supply shortages, or disruptions of internet or telecommunication services. In such cases, Cherizo’s performance will be excused for the duration of the event.

17.  TERMINATION

Cherizo may suspend or terminate your access to the website and the Service at any time, without prior notice, for any reason including suspected fraud, breach of these Terms or unlawful activity. Upon termination, your right to use the website and Service will immediately cease. Sections that by their nature ought to survive termination (including Intellectual Property, Limitation of Liability, Indemnity, Governing Law and Dispute Resolution) shall survive termination.

18.  GOVERNING LAW & JURISDICTION; PRE-LITIGATION MEDIATION

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Pre-litigation Mediation

Prior to initiating court proceedings, the parties may (at their election) attempt to resolve disputes through mediation administered by a mutually agreed mediator in Bengaluru. If mediation is unsuccessful or not elected within 60 days of written notice of dispute, either party may pursue litigation in the courts of Bengaluru, Karnataka, India.

19.  NOTICES; ELECTRONIC COMMUNICATIONS

You agree that Cherizo may provide notices and other communications to you electronically (for example, via email or posting on the website). Such communications shall be considered given and received upon transmission. All notices to Cherizo must be sent to the contact details set out below.

20.  ASSIGNMENT; NO WAIVER; SEVERABILITY; ENTIRE AGREEMENT

Cherizo may assign or transfer its rights and obligations under these Terms to third parties (including our affiliates) without your consent. You may not assign or transfer any rights or obligations under these Terms without Cherizo’s prior written consent.

No failure or delay by Cherizo in exercising any right under these Terms will operate as a waiver of that right. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the complete and exclusive statement of the agreement between you and Cherizo regarding the website and the Service, superseding all prior agreements.

21.  CONSUMER RIGHTS & STATUTORY PROTECTIONS

To the extent that any law provides non-waivable rights to consumers, nothing in these Terms shall limit such rights. These Terms are in addition to, and not a substitute for, statutory rights which you may have as a consumer.
